Infrastructure Investments Fund Acquires Enstor Gas from ArcLight

The Infrastructure Investments Fund (IIF), advised by J.P. Morgan Investment Management, has acquired Enstor Gas from an affiliate of ArcLight Capital Partners. Enstor, the largest privately owned U.S. natural gas storage company headquartered in Houston, will continue to operate its six underground storage facilities across Alabama, Mississippi, Texas and New Mexico.

ArcLight Capital Partners’ managed fund acquired a 25% interest in Natural Gas Pipeline Company of America (NGPL), resulting in ArcLight holding a 62.5% economic ownership stake while Kinder Morgan retains a 37.5% interest and continues to operate NGPL. NGPL is one of the largest U.S. interstate natural gas pipeline systems (≈9,100 miles, ~1 million horsepower of compression, 288 billion cubic feet of storage); terms were not disclosed. ArcLight cited rising power demand from electrification and AI and the asset’s ability to support utilities, LNG exporters and data centers as the strategic rationale.

Infrastructure Investments Fund (IIF), an investment vehicle advised by J.P. Morgan Investment Management, agreed to acquire G+E GETEC Holding GmbH (GETEC) from EQT Infrastructure III fund and GETEC Energie Holding (GEH). GETEC, headquartered in Magdeburg, Germany, operates over 11,500 energy generation assets across nine European countries with more than 5.2 GWth capacity and ~2,200 employees; the deal is expected to close by end of Q1 2022 subject to regulatory approvals as IIF seeks to support GETEC's continued growth and decarbonization efforts.

Enstor Acquires Black Bear Transmission from Basalt Infrastructure Partners

Enstor Pipeline Holdings, an affiliate of Enstor Gas, LLC, has completed the acquisition of Black Bear Transmission Opco, LLC from funds advised by Basalt Infrastructure Partners. The deal expands Enstor’s natural gas transmission footprint across the Southeastern United States, adding ~1,700 miles of pipeline and 2.6 Bcf/d of capacity to its existing assets.

IFM Net Zero Infrastructure Fund (part of IFM Investors) has signed a definitive agreement to acquire a majority interest in GreenGasUSA, a Charleston-based developer, owner and operator of renewable natural gas (RNG) projects. The investment, NZIF's first in the low carbon fuels sector, will provide capital to expand GreenGas's footprint of RNG projects and support long-term growth while the company's founder and CEO Marc Fetten remains in place.
