EverArc Holdings Acquires Perimeter Solutions from SK Capital

EverArc Holdings Limited agreed to acquire 100% of Perimeter Solutions from SK Invictus Holdings S.à.r.l., an affiliate of funds advised by SK Capital Partners, for about $2 billion in cash and preferred shares. The deal makes Perimeter Solutions — a global manufacturer of firefighting products and lubricant additives — a public company via EverArc and was expected to close in Q4 2021 subject to customary conditions.

Full Guard Capital has partnered with Perimeter Insect Guard in a recapitalization transaction announced in August 2023, with subordinated debt and equity provided by Tecum Capital and Spring Capital Partners to support the deal. Perimeter, headquartered in Taylorsville, Mississippi, is the largest provider of insecticide treatment services for military uniforms and will continue to be led by management following the transaction.

Perimeter Solutions Group Acquires Strategic Fence & Wall

Perimeter Solutions Group (PSG), a portfolio company of Bertram Capital, has acquired Strategic Fence & Wall, a leading permanent fence and gate installation business in Breckenridge, Colorado. Founder Jack Saville will remain with the company as PSG expands its integrated perimeter protection platform into the Colorado market; terms were not disclosed.

Five Bays Capital has acquired Firezat, a maker of patent-pending aluminum-based Wildfire Ember Shields and Wildfire Fire Shields, to scale production, R&D and distribution of its wildfire structure-protection technology. The founder, Dan Hirning, remains involved as Five Bays aims to expand team, manufacturing capacity and strategic partnerships with firefighting agencies and insurance providers to help stabilize insurance access in wildfire-prone regions.

Highview Capital Acquires Frontier Fire Protection

Highview Capital, a Los Angeles-based middle-market private equity firm, has acquired Frontier Fire Protection, a Denver-headquartered provider of fire sprinkler, alarm and life-safety services across the Mountain West and Southwest. Frontier Fire’s management, led by CEO Greg Londo, will remain shareholders as Highview supports geographic expansion, capability growth (inspection and alarm offerings) and continued M&A to scale the platform.
