Novolex Acquires Flexo Converters USA, Inc.

Novolex, a portfolio company of The Carlyle Group, has acquired Flexo Converters USA, Inc., a family-owned manufacturer of stock, custom and recycled paper bags and sacks headquartered in Meriden, Connecticut, with an additional plant in Monroe, Georgia. Flexo's products will be sold under the Novolex Duro Bag brand and the acquisition adds production capacity to support rising demand from foodservice and grocery customers; eligible full‑time Flexo employees will join Novolex.

Novolex Acquires B&H Bag Company

B&H, a family-owned paper bag manufacturer with a plant in Brookshire (near Houston), Texas, supplies the foodservice and grocery markets; Novolex is PE-backed by The Carlyle Group.

Apollo Funds to Acquire Majority Stake in Novolex

Funds managed by Apollo affiliates have entered into a definitive agreement to acquire a majority stake in Novolex from funds managed by Carlyle, with Carlyle retaining a minority interest. Novolex, a leading sustainable packaging manufacturer headquartered in Hartsville, South Carolina with more than 10,000 employees and 57 manufacturing facilities, will look to leverage Apollo's resources to expand customer relationships, sustainability initiatives and product innovation.

Novolex Acquires Vegware

Novolex, a Hartsville, South Carolina-based packaging manufacturer, has acquired Vegware, an Edinburgh-headquartered provider of plant-based compostable foodservice packaging. The deal brings Vegware into Novolex’s Eco-Products portfolio to expand Novolex’s global compostable products footprint and broaden distribution in Europe and North America.

Imperial Dade Acquires American Paper & Twine

Imperial Dade, a Bain Capital-backed distributor of foodservice packaging and janitorial supplies, has acquired American Paper & Twine (APT), a Nashville-based distributor of janitorial, packaging, food service and office products. The transaction is an add-on to Imperial Dade's platform that strengthens its presence in the Southeast; financial terms were not disclosed.

Novolex Acquires Pactiv Evergreen Inc.

Novolex has completed its combination with Pactiv Evergreen Inc. in a transaction valued at approximately $6.7 billion (including net debt), with Pactiv Evergreen shareholders receiving $18.00 per share and Pactiv Evergreen delisted from Nasdaq. The combined company will operate under the Novolex name, expanding manufacturing footprint, product breadth and R&D capabilities across food, beverage and specialty packaging markets.
