Fox Factory Acquires SCA Performance from Kinderhook

Fox Factory Holding Corp. agreed to acquire SCA Performance Holdings, Inc. from Kinderhook Industries for $328 million (exclusive of vehicle inventory), with an additional $13 million of contingent retention incentives for key SCA management. The purchase expands FOX's specialty vehicle manufacturing capabilities and North American manufacturing footprint by combining SCA's OEM-authorized upfitting business with FOX's Tuscany operations.

Ltd., through syndication of its funds (Westcap MBO II Investment LP and Golden Opportunities Fund Inc.), partnered with management (AcquireCo/2223890 Alberta Ltd., controlled by Matthew Campbell and Garrett Ganden) to complete a go-private acquisition of Rocky Mountain Equipment. AcquireCo purchased all outstanding common shares for CAD $7.41 per share (approximately CAD $127.9 million aggregate), taking RME private; RME is Canada’s largest independent agriculture equipment dealer with ~36 branches across Alberta, Saskatchewan and Manitoba.

Rhino-Rack, a brand within Clarus Corporation, has acquired certain assets of RockyMounts, a Boulder, Colorado-based maker of bicycle transport products. The transaction, funded with cash on hand and with terms undisclosed, will integrate RockyMounts into Rhino-Rack’s Colorado facility while founder Bobby Noyes will remain on the innovation team to support product development and expansion into U.S. and Australian markets.

Specialty Products and Insulation (SPI), a portfolio company of Dunes Point Capital, has acquired Rocky Mountain Construction Wholesale, LLC (RMCW), a Denver-based distributor of building insulation for commercial, residential and metal buildings. The acquisition expands SPI's distribution footprint and product reach in the Mountain West region; SPI is a Charlotte-headquartered value-added distributor and fabricator of mechanical insulation and related products.
