ADNOC Acquires OCI's 50% Stake in Fertiglobe

Abu Dhabi National Oil Company (ADNOC) has completed the purchase of OCI Global’s entire 50%+1 equity stake in Fertiglobe for USD 3.62 billion on a cash-free debt-free basis, increasing ADNOC's ownership in Fertiglobe to 86.2%. The transaction marks OCI's full exit to monetize its investment; Fertiglobe's board re‑appointed Ahmed El‑Hoshy as CEO effective 15 October 2024 and the ADX free float remains at 13.8%.

The deal includes OCI’s 50% interest in the Natgasoline joint venture and gives OCI a ~12.9% stake in Methanex; OCI also announced plans to return up to USD 1.0 billion to shareholders following the closing.

ADNOC Drilling and Alpha Dhabi have incorporated a joint venture (Enersol) at Abu Dhabi Global Market and completed the JV's inaugural strategic investment by transferring Alpha Dhabi’s 25% equity stake in US-based Gordon Technologies into the JV (valued at roughly $180 million). The move gives the JV an equity position in a leading measurement-while-drilling (MWD) technology provider and is intended to accelerate capability expansion in tech-enabled energy services and optimise drilling operations for ADNOC Drilling.

FOSROC is a global construction chemicals manufacturer with ~3,000 employees, 20 plants and expected 2024E sales of $487 million; the deal strengthens Saint-Gobain's presence in India, the Middle East and Asia-Pacific and is expected to deliver roughly $54 million of run-rate synergies by year three.

Koch Ag & Energy Solutions (KAES) completed the acquisition of Iowa Fertilizer Company LLC (IFCO) from OCI Global for $3.6 billion on a cash-free, debt-free basis, closing Aug. 29, 2024 (deal signed Dec. 18, 2023). The Wever, Iowa facility — commissioned in 2017 with capacity of 3.5 million metric tons of nitrogen fertilizers and diesel exhaust fluid annually — joins Koch's fertilizer platform, expanding its US production footprint and eastern U.S. market reach.

Woodside Energy Acquires OCI's 1.1 Mtpa Clean Ammonia Project in Beaumont, Texas

Woodside Energy Group Ltd completed the acquisition of 100% of OCI Clean Ammonia Holding B.V., taking ownership of the 1.1 million tonne-per-annum Clean Ammonia project in Beaumont, Texas, for approximately USD 2.35 billion (cash-free, debt-free). OCI will continue to manage construction and commissioning through provisional acceptance; first ammonia is targeted in 2025 and lower‑carbon ammonia in 2026, with USD 1.88 billion paid at closing and the remaining USD 470 million payable at project completion.
