Brinks Home Security (Monitronics International, Inc.) acquired approximately 114,000 residential alarm monitoring contracts from Protect America, Inc., representing about $4.6 million of recurring monthly revenue (RMR). The asset purchase included a $15.0 million upfront payment plus a structured earnout ($5 per active account/month for the first six months, then $25 per active account/month for the following 44 months), with no earnout obligation after month 50.
