Adelis Equity Partners Acquires Majority Stake in Aderian Group

Arieli EL Acquires 59.14% Stake in Elron Ventures

Arieli EL, part of the Arieli family office, has completed a $53.2 million acquisition of a 59.14% controlling stake in Elron Ventures from Discount Investment Corporation Ltd. The deal gives Arieli EL control of Elron — a Tel Aviv–based venture/holding company with over $250 million AUM and a portfolio of cybersecurity, B2B software and health-tech companies — and includes Elron’s 50% interest in Rafael Development Corporation, a JV with Rafael Advanced Defense Systems.

Astorg Acquires Majority Stake in Corialis from CVC Capital Partners

Astorg has agreed to acquire a majority stake in Belgian aluminium systems manufacturer Corialis from CVC Capital Partners Fund VI, with management reinvesting alongside the buyer. The deal was financed with an inaugural ESG-linked syndicated Term Loan B of more than €1 billion and positions Astorg to support Corialis' industrial investment programme, broaden its product offering and pursue international growth. Corialis is headquartered in Lokeren, Belgium and employs approximately 2,700 people across eight sites.

Norvestor Acquires Majority Stake in Pearl Group

A fund advised by Norvestor Advisory AS has agreed to acquire a c.52% majority stake in Pearl Group, a Nordic IT solutions and ERP partner headquartered in Lysaker, Norway. The investment provides Pearl with expansion capital to grow organically and via M&A while the existing management and key employees retain a significant minority stake and reinvest proceeds.

American Industrial Partners Acquires SEACOR Holdings in $1B Take-Private

American Industrial Partners (AIP) completed a take-private acquisition of SEACOR Holdings Inc. via a tender offer at $41.50 per share, valuing the company at roughly $1 billion including net debt. The transaction was effected through AIP affiliate Safari Merger Subsidiary, Inc.; SEACOR's shares were converted and delisted from the NYSE, and AIP will work with SEACOR management to pursue long-term growth and industry consolidation.
