BioLife Solutions Acquires Stirling Ultracold

BioLife Solutions, Inc. agreed to acquire Global Cooling, Inc., operating as Stirling Ultracold, in an all-stock merger in which BioLife will issue 6,646,870 shares to acquire 100% of Stirling. The deal (expected to close in early Q2 2021) expands BioLife's cold-chain and ULT freezer product portfolio, adds Stirling’s ~150 employees and IP, and is expected to be accretive on an adjusted net income per share basis in 2022 and beyond.

StemBioSys Acquires Majority Stake in Cartox

San Antonio-based StemBioSys acquired a majority stake in Ann Arbor startup Cartox, obtaining control with plans to purchase the remaining equity subject to milestones. The deal brings Cartox's cardiotoxicity imaging and assay capabilities together with StemBioSys's CELLvo extracellular matrix technology to accelerate commercial development of pre-clinical cardiac safety and efficacy screening solutions.

Milton Street Capital Forms IC Biomedical by Acquiring Worthington Life Sciences Business and International Cryogenics

Milton Street Capital, a Houston-based private equity firm, acquired the Life Sciences business of Worthington Industries (Theodore, AL) and International Cryogenics, Inc. (Indianapolis, IN) and combined them to form IC Biomedical. The new company will be led by Steve Shaw (CEO) and Jim Hoppel (CFO) and will focus on manufacturing cryogenic storage freezers, dewars and shippers for biomedical, pharmaceutical and research markets.

AnaBios Acquires Cell Systems

AnaBios Corporation has acquired Cell Systems, a Kirkland, Washington supplier of human primary cells and cell culture media, to expand its human tissue and cell portfolio and accelerate translational drug discovery. Financing for the transaction was provided by AnaBios' existing investors, including Ampersand Capital Partners; financial terms were not disclosed.

BioLife Solutions Acquires PanTHERA CryoSolutions

BioLife Solutions acquired the remaining 90% of PanTHERA CryoSolutions for $9.3 million in cash plus 241,355 shares of BioLife common stock, with up to an additional $7.2 million of stock payable upon achievement of milestones. The acquisition adds PanTHERA's proprietary Ice Recrystallization Inhibitor (IRI) technology and scientific talent to BioLife's biopreservation consumables portfolio, accelerating product capability development for the cell and gene therapy market.

Tobin Scientific Acquires BioRepository Resources

The acquisition expands Tobin Scientific's biopharma storage and biorepository capabilities, adding over 2 million samples and enhancing its GxP-compliant long-term biological sample storage offerings.
