Chart Industries Acquires Worthington Industries' Cryogenic and Hydrogen Trailer Business

Chart Industries completed the acquisition of Worthington Industries' cryogenic trailer and hydrogen trailer transport assets, including the Theodore, Alabama manufacturing site, related IP, equipment and repair backlog. The facility (approximately 300,000 sq ft) and its employees will join Chart as the company expands its mobile cryogenics and hydrogen transport capabilities, with expected hydrogen-related revenue from the site of $15–20 million in 2021 (with upside).

BioLife Solutions Acquires Stirling Ultracold

BioLife Solutions, Inc. agreed to acquire Global Cooling, Inc., operating as Stirling Ultracold, in an all-stock merger in which BioLife will issue 6,646,870 shares to acquire 100% of Stirling. The deal (expected to close in early Q2 2021) expands BioLife's cold-chain and ULT freezer product portfolio, adds Stirling’s ~150 employees and IP, and is expected to be accretive on an adjusted net income per share basis in 2022 and beyond.

BioLife Solutions Acquires PanTHERA CryoSolutions

BioLife Solutions acquired the remaining 90% of PanTHERA CryoSolutions for $9.3 million in cash plus 241,355 shares of BioLife common stock, with up to an additional $7.2 million of stock payable upon achievement of milestones. The acquisition adds PanTHERA's proprietary Ice Recrystallization Inhibitor (IRI) technology and scientific talent to BioLife's biopreservation consumables portfolio, accelerating product capability development for the cell and gene therapy market.

Vertical Cold Storage Acquires MWCold

Vertical Cold Storage, a temperature-controlled warehousing platform sponsored by real estate investment firm Platform Ventures, has agreed to acquire MWCold, a fourth-generation, family-owned cold storage and logistics provider operating two facilities in central Indiana. The acquisition adds more than 545,000 square feet of multi-temperature, rail-served warehouse capacity (Indianapolis and Pendleton, IN) to Vertical Cold's Midwest footprint and will see MWCold CEO Tim Siddiq transition to an advisory role.

1315 Capital Acquires SciSafe from BioLife Solutions

Standex Acquires Custom Biogenic Systems from BioLife Solutions

Standex International has acquired Custom Biogenic Systems (CBS), a Michigan-based maker of cryogenic and controlled-rate freezers, from BioLife Solutions for approximately $6.1–$6.2 million in cash. The business will be reported in Standex's Scientific segment and is expected to be accretive in year one, expanding Standex's scientific refrigeration capabilities and North American manufacturing footprint.
