Crescent Energy Company (NYSE: CRGY) acquired Vital Energy, Inc. (NYSE: VTLE) in an all-stock transaction valued at approximately $3.1 billion, including Vital’s net debt. The deal creates a top-10 independent, liquids-weighted E&P company with a strategy focused on free cash flow generation and disciplined capital allocation. The acquisition has closed and Crescent expects to provide pro forma 2026 guidance with its 4Q/full-year 2025 results.

Quantum Capital Group Acquires Caerus Oil & Gas Assets for $1.8B

Quantum Capital Group, through two portfolio companies QB Energy and KODA Resources, has acquired the oil and gas operations and acreage of Caerus Oil and Gas for approximately $1.8 billion, including assumption of certain asset-backed securities and liabilities. The deal splits Piceance Basin assets to QB Energy and Uinta Basin assets to KODA, transferring operations and many Caerus staff to the acquiring operators to support continued natural gas development for western U.S. markets.

Civitas Resources Acquires Bison Oil & Gas II, LLC for ~$300M

The deal adds 102 gross locations (38 fully permitted) and ~9,000 Boed of pro forma 2022E production to Civitas' portfolio, and is expected to be accretive to production, EBITDA and free cash flow while preserving a strong balance sheet.

Pioneer Natural Resources Acquires DoublePoint Energy Assets in Midland Basin

Pioneer Natural Resources completed the acquisition of the leasehold interests and related assets of DoublePoint Energy (structured as the purchase of Double Eagle III Midco 1 LLC) in the Midland Basin for approximately $6.2–$6.4 billion in stock, cash and assumed debt. The transaction adds ~97,000 contiguous net acres to Pioneer's Midland Basin footprint and was approved by the boards of the companies; DoublePoint was backed by equity commitments from Apollo, Quantum Energy Partners, Magnetar Capital and Blackstone Credit.
