Devon Energy to Merge with Coterra Energy in $21.4B All-Stock Deal

Devon Energy and Coterra Energy have signed a definitive all-stock agreement to merge, creating a premier Delaware Basin–anchored shale operator. The deal will exchange 0.70 shares of Devon common stock for each share of Coterra, and is expected to close in the second quarter of 2026 subject to regulatory and shareholder approvals.

The deal adds Denbury's ~1,300 miles of CO2 pipelines, onshore sequestration sites and Gulf Coast/Rockies oil and gas operations (over 200 million boe of proved reserves and roughly 46,000–47,000 boe/d of production), strengthening ExxonMobil's Low Carbon Solutions and CCS capabilities.
