Ferrovial Acquires 5.06% Stake in 407 ETR

Ferrovial purchased a 5.06% equity stake in 407 International Inc. (407 ETR) for CAD 1.99 billion, acquiring shares from affiliates of AtkinsRéalis and exercising a call option to complete the transaction. The purchase increases Ferrovial's ownership in the Canadian toll highway from 43.23% to 48.29%; the announcement also notes concurrent transactions in which AtkinsRéalis sold a remaining 1.7% to CPP Investments and PSP Investments acquired a 7.51% interest from CPP.

Fortress Transportation and Infrastructure Investors LLC (FTAI) agreed to acquire United States Steel Corporation’s rail operating subsidiary, Transtar, LLC, for $640 million, with the transaction expected to close in Q3 2021 subject to regulatory approvals. FTAI and U.S. Steel will also enter a 15-year exclusive strategic rail services agreement (with minimum volume commitments for the first five years), providing FTAI with long-term contracted revenue and opportunities to grow third-party rail services and ancillary businesses.

A consortium comprising CDP Equity (51%), Blackstone Infrastructure Partners (24.5%) and funds managed by Macquarie Asset Management (24.5%) has signed a share purchase agreement with Atlantia to acquire 88.06% of Autostrade per l'Italia through a newly created vehicle, Holding Reti Autostradali (HRA). The investors say the transaction will support an extensive investment plan, network upgrades, digitalisation and improved maintenance of ASPI's c.3,000 km toll-road network; closing remains subject to customary conditions and regulatory approvals.

Hg has increased its stake in enterprise software provider IFS to become a co-control shareholder alongside EQT, as new minority investors — a wholly-owned subsidiary of the Abu Dhabi Investment Authority (ADIA) and the Canada Pension Plan Investment Board (CPP Investments) — buy shares from EQT, TA Associates and other minority holders. The transaction values IFS at over EUR 15 billion and supports the company’s continued AI-driven growth after surpassing €1 billion in ARR and more than 7,000 employees globally.
