Afya Limited closed the acquisition of 100% of Faculdade Masterclass Ltda. (FACULDADE ÚNICA DE CONTAGEM, “FUNIC”), a pre‑operational medical school in Contagem, Minas Gerais, Brazil. The aggregate purchase price is R$100 million (R$60m paid in cash on May 7, 2025; R$40m in three annual CDI‑adjusted installments) plus contingent consideration for up to 60 additional medical seats if approved by MEC within 36 months.

Afya Limited Acquires Além da Medicina

Afya Limited, through its wholly-owned subsidiary Afya Participações S.A., has completed the acquisition of 100% of Além da Medicina for an enterprise value of R$16.0 million paid in cash, with an additional earn-out of up to R$19.2 million tied to revenue targets for 2023–2024. Além da Medicina is a Brazilian online medical content and education platform serving physicians and medical students (more than 4,000 subscribers in 2021) and the deal is intended to strengthen Afya's digital content and medical education capabilities.

The acquisition adds cardiology content and digital education capabilities to Afya's medical education ecosystem; CardioPapers reported ~7,000 students in 2021 and expected R$18.8 million gross revenue for 2022.

A.P. Moller Holding Acquires Unilabs from Apax Partners

Unilabs is a Swiss-based diagnostics provider operating clinical labs, pathology and imaging centres across Europe and beyond, with about 12,600 employees, roughly EUR 2.0bn revenue and EUR 600m EBITDA (12 months ending Sept 2021); transaction terms were not disclosed and is subject to regulatory approval.
