Brookfield Acquires Colonial Enterprises (Colonial Pipeline)

Brookfield Infrastructure Partners, through its subsidiary Colossus AcquireCo LLC and institutional partners, completed the purchase of Colonial Enterprises Inc. from a consortium of owners for an enterprise value of about $9 billion. The deal gives Brookfield sole ownership of the Colonial Pipeline system — the largest refined-products pipeline in the U.S. — and was completed with sellers including Shell Midstream Operating LLC, Koch Capital, KKR-Keats, La Caisse and IFM Investors.

Pembina Pipeline Corporation completed the previously announced acquisition of Enbridge Inc.'s interests in the Alliance Pipeline, Aux Sable and NRGreen joint ventures for approximately $3.1 billion. The deal increases Pembina's ownership of those midstream assets, was funded in part by a $1.28 billion subscription receipt offering, and prompted an upward revision to Pembina's 2024 adjusted EBITDA guidance.

Energy Infrastructure Partners (EIP), together with a consortium of Belgian institutional investors, acquired a 19.85% stake in Fluxys; Macquarie Asset Management provided acquisition debt financing to support the transaction. The investment — announced in September and completed in February 2023 after Belgian regulator approval — positions investors to support Fluxys' role in European gas infrastructure and its planned expansion into hydrogen and CO2 infrastructure.

Energy Services of America Corporation formed a wholly owned subsidiary, West Virginia Pipeline Acquisition Company, and entered an asset purchase agreement to acquire substantially all assets of WV Pipeline, Inc. for $3.5 million cash plus a $3.0 million seller note; the transaction was expected to close December 31, 2020. The acquisition expands Energy Services' capabilities and geographic presence in gas and water distribution utility services in southern West Virginia, and WV Pipeline's leadership (David and Daniel Bolton) will remain with the business.
