Innoviva Acquires Entasis Therapeutics

Innoviva agreed to acquire the remaining shares of Entasis Therapeutics it did not already own for $2.20 per share in cash, valuing Entasis equity at about $113 million on a fully diluted basis. Innoviva completed the acquisition in July 2022, making Entasis a wholly owned subsidiary.

Incyte Acquires Escient Pharmaceuticals

The acquisition, subject to customary closing conditions and HSR clearance, expands Incyte's pipeline in dermatology, chronic urticaria and pruritus with expected closing in 3Q 2024.

MorphoSys Acquires Constellation Pharmaceuticals for $1.7B

MorphoSys AG has agreed to acquire Constellation Pharmaceuticals for $34.00 per share in cash, valuing the transaction at approximately $1.7 billion. The deal strengthens MorphoSys' hematology-oncology pipeline by adding Constellation's mid- to late-stage candidates (pelabresib/CPI-0610 and CPI-0209) and is supported by a strategic funding partnership with Royalty Pharma that provides significant upfront and milestone funding.

AstraZeneca to Acquire EsoBiotec

Haemonetics Corporation has entered into a definitive agreement to acquire privately held Attune Medical, the manufacturer of the ensoETM proactive esophageal cooling device used during RF cardiac ablation procedures. The deal calls for an upfront cash payment of $160 million at closing, plus additional contingent consideration tied to sales growth and other milestones, and is expected to close in Haemonetics’ fiscal first quarter of 2025.
