Sealed Air Acquires Liquibox from Olympus Partners for $1.15B

Sealed Air Corporation (NYSE: SEE) has signed a definitive agreement to acquire Liquibox, a global manufacturer of bag‑in‑box liquid packaging and dispensing solutions, from Olympus Partners for $1.15 billion. The deal broadens Sealed Air’s Cryovac fluids & liquids portfolio, targets cost synergies and geographic expansion, and is expected to close subject to regulatory approvals in early 2023.

International Paper to Acquire DS Smith in All-Share Combination

International Paper (IP) has agreed to acquire DS Smith in a recommended all-share combination valuing DS Smith at 415 pence per share and implying an enterprise value of approximately $9.9 billion. The transaction will give pro forma IP shareholders ~66.3% and DS Smith shareholders ~33.7% of the combined company, creating a global leader in sustainable fiber-based packaging with expanded European and North American scale; the deal is expected to close by Q4 2024, subject to approvals.

Pexco LLC Acquires Performance Plastics Ltd.

Pexco LLC, a North American specialty plastics manufacturer backed by Odyssey Investment Partners, has acquired Performance Plastics Ltd., a Cincinnati-based precision injection molder specializing in high-performance polymers. The deal expands Pexco's capabilities in fluoropolymers and other high-performance materials and adds engineering and tight-tolerance molding expertise for aerospace, defense, medical and precision industrial end markets.

Foam Fabricators Acquires Substantially All Assets of Polyfoam Corp.

Foam Fabricators, a Compass Diversified Holdings-backed packaging platform, has acquired substantially all of the assets of Massachusetts-based Polyfoam Corp., expanding Foam Fabricators' protective and temperature-sensitive packaging capabilities and geographic footprint. The deal adds Polyfoam's cold-chain and injection-molded plastic capabilities and enables cross-selling to national customers while Foam Fabricators also announced a partnership with Rational Packaging and commercialization of a biodegradable EPS product.

Novvia Group Acquires Liquid Bottles

Novvia Group, a PE-backed global rigid container and life sciences packaging distributor, has acquired Liquid Bottles LLC, a Florida-based supplier of plastic and glass containers and other rigid packaging products. The deal—terms not disclosed—adds a 40,000 sq ft Palmetto, Florida warehouse and management team to Novvia, expanding its product breadth and presence in the Southeastern U.S.; Novvia is backed by private equity firm Kelso & Company.

Schur Flexibles Group Acquires Termoplast S.r.L.

Schur Flexibles Group has acquired 100% of Termoplast S.r.L., an Italian producer of 100% recyclable MDO-PE films and operator of an on-site recycling business. The acquisition (closed end of June 2021) will accelerate Schur Flexibles' expansion in the Italian market while preserving continuity as the selling family remains in management.
