Crestwood Completes Acquisition of Oasis Midstream

Crestwood Equity Partners LP completed its previously announced merger with Oasis Midstream Partners LP, combining the companies to expand Crestwood's scale and competitive position in the Williston and Delaware Basins. The deal adds ~1,500 miles of gathering pipelines, ~380 MMcf/d processing capacity and the Thunder Creek NGL pipeline; closing was expected in Q4 2023 subject to customary approvals.

Consideration included $155 million in cash, 7.5 million common units/shares (equity consideration) and up to $25 million of contingent cash; the deal expands Summit's natural gas gathering and processing footprint in the Arkoma Basin and rebalances its portfolio toward natural gas.

The deal expands Occidental's Midland Basin footprint with ~170 Mboed of high-margin unconventional production, ~94,000 net acres and ~1,700 undeveloped locations, and is expected to be accretive to free cash flow.
