LiveXLive Media Acquires PodcastOne (Courtside Group, Inc.)

LiveXLive Media, Inc. agreed to acquire Courtside Group, Inc., the owner and operator of PodcastOne, in an all-stock deal valued at approximately $18.1 million (based on LiveXLive's closing price on May 7, 2020). The acquisition brings PodcastOne's podcast library and advertising sales capability into LiveXLive to diversify revenue toward advertising and accelerate cross‑promotion across their platforms; the transaction was expected to close by June 2020.

LiveXLive Media Acquires Gramophone Media, Inc.

LiveXLive Media entered into a binding letter of intent to acquire Gramophone Media, Inc., an NYC-based artist and brand development and PR agency. Gramophone's founder and sole shareholder Eshy Gazit will remain to lead the business, which will operate as a wholly owned subsidiary and is expected to be immediately accretive and expand LiveXLive's artist services and marketing capabilities.

The deal includes a multi-year production partnership with Voodoo Tracks founders Juan Carlos Rodriguez and Elías Serpa to create new Latin albums for Audio Network's catalogue and strengthen its appeal to broadcasters, brands and streaming customers in the U.S. and Latin America.
