GeoPark Acquires Frontera Energy’s Colombian E&P Assets via Frontera International Holdings B.V.

GeoPark entered into a definitive agreement to acquire 100% of Frontera Petroleum International Holdings B.V. (“Frontera International”), which holds oil and gas exploration and production assets in Colombia, from Frontera Energy, for $375 million in cash at closing plus up to $25 million contingent on development milestones. The deal is intended to create a leading independent E&P platform across Colombia and Argentina and will strengthen GeoPark’s ability to fund growth in Argentina’s Vaca Muerta. GeoPark will also assume Frontera’s specified notes and other indebtedness tied to the acquired assets.

Vista Energy Acquires Petronas E&P Argentina (PEPASA)

Vista Energy, through its subsidiary Vista Energy Argentina S.A.U., acquired 100% of Petronas E&P Argentina S.A. (PEPASA) from Petronas Carigali Canada B.V. and Petronas Carigali International E&P B.V. The transaction consideration includes US$900 million cash, US$300 million in deferred cash payments and 7,297,507 ADSs of Vista; the acquisition gives Vista a 50% working interest in the La Amarga Chica (LACh) concession in Vaca Muerta, materially increasing its scale, production and midstream capacity.

Union Park Capital Makes Majority Investment in HydroGeoLogica

Union Park Capital, a Boston-based private equity firm, has made a majority investment in HydroGeoLogica, Inc., a Golden, Colorado-based mining-focused hydrogeology and geochemistry consulting firm. HydroGeoLogica will form a new Mining Services Group within LRE Water (a Spheros Environmental company), with founders Anita Johnson and Brent Johnson continuing to lead the group.

Petro-Victory Energy and BlueOak Investments Complete Acquisition of Capixaba Energia

(with BlueOak Investments as its strategic financial partner) has completed its previously announced acquisition of Capixaba Energia LTDA, a producing onshore oil and gas asset in Brazil’s Espírito Santo Basin. The deal strengthens Petro-Victory’s Brazil onshore position with immediate cash-flowing production (~400 boe/d) and expansion plans supported by BlueOak funding.

Mineros S.A. Acquires Remaining 80% Interest in La Pepa Project from Pan American Silver Corp

Mineros S.A. will acquire an additional 80% interest in Chile’s La Pepa Project from Pan American Silver Corp for $40 million, bringing Mineros’ ownership to 100%. The transaction involves the purchase of all shares of Minera Cavancha SpA not currently owned by Mineros, and is expected to close on or before September 30, 2025.

Laredo Petroleum Acquires Sabalo Energy Assets for $715M

Laredo Petroleum (NYSE: LPI) signed a purchase and sale agreement to acquire the assets of Sabalo Energy, a portfolio company of EnCap Investments, for approximately $715 million in cash and stock. Concurrently, Laredo sold 37.5% of certain operated PDP reserves in its Legacy leasehold to an affiliate of Sixth Street Partners for $405 million to help fund the acquisition and deleverage the balance sheet.
