Pan American Silver completed its previously announced acquisition of all issued and outstanding common shares of Yamana Gold, adding four producing mines (Jacobina, El Peñón, Minera Florida and Cerro Moro) and the MARA development project to its portfolio. The transaction was structured alongside the sale of Yamana's Canadian assets (including Canadian Malartic) to Agnico Eagle; Yamana shareholders received a mix of cash, Agnico Eagle shares and Pan American shares.

Pan American Silver Corp. completed its previously announced plan of arrangement to acquire all outstanding shares of MAG Silver Corp. MAG shareholders received $500 million in cash plus approximately 60.2 million Pan American shares, leaving former MAG holders with about 14.3% of Pan American on a fully diluted basis. The deal adds Pan American’s 44% joint venture interest in the high-grade Juanicipio silver mine in Zacatecas, Mexico (operated by Fresnillo) and full interests in MAG’s Deer Trail and Larder exploration assets.

Sun Valley Investments AG Increases Stake in Mineros S.A.

Sun Valley Investments AG completed a public offer to purchase 23,851,918 common shares of Mineros S.A. at COP 5,500 per share, acquiring the shares for COP 131,185,549,000 (approximately CAD $44.9M). The purchase increases Sun Valley’s ownership in Mineros from 57.42% to approximately 65.38%; Sun Valley says it will hold the shares for investment purposes and may further adjust or engage with the company over time.

Mineros S.A. to Acquire 100% of AngloGold Ashanti Colombia S.A.S. Gold Exploration Project in Tolima, Colombia

Mineros S.A. entered into a definitive agreement to acquire a 100% interest in a gold exploration project in Colombia’s Department of Tolima by purchasing all outstanding shares of AngloGold Ashanti Colombia S.A.S. (AGA Colombia) from an AngloGold Ashanti subsidiary. The deal includes $10 million payable in cash at closing and contingent consideration of up to $60 million tied to mineral ore tonnage under an approved plan and environmental license, with an expected closing in the first quarter of 2026.

Vista Energy Acquires Petronas E&P Argentina (PEPASA)

(PEPASA) from Petronas Carigali Canada B.V. and Petronas Carigali International E&P B.V. The transaction consideration includes US$900 million cash, US$300 million in deferred cash payments and 7,297,507 ADSs of Vista; the acquisition gives Vista a 50% working interest in the La Amarga Chica (LACh) concession in Vaca Muerta, materially increasing its scale, production and midstream capacity.
