AMTD International Acquires Majority Stake in AMTD Digital

(AMTD IDEA Group) completed the acquisition of a majority stake in AMTD Digital Inc., acquiring 97.1% of issued shares and 99.9% of voting power, making AMTD Digital a consolidated subsidiary. Euronext Amsterdam-listed SWI Stoneweg Icona Group (via SWI Digital) entered into binding agreements to acquire additional interests in a US data center and technology-enabled businesses platform, for an aggregate purchase price of USD 330 million. The company previously exercised an option on February 1, 2026 to acquire all of the issued share capital of a private holding company with interests in the same platform for USD 170 million; the new agreement adds further interests, with completion conditional on regulatory approvals and other closing conditions.

American Premium Water Corp Acquires CloudXchange DataCentre Inc.

American Premium Water Corporation (APW) agreed to acquire 100% of CloudXchange DataCentre Inc. for US$45.6 million in restricted common shares issued to the seller, Mr. Chan Heng Fai (Ambrose). The seller guaranteed at least US$1.5 million of EBITDA for CloudX SG in the first 12 months; APW plans to pivot its business toward crypto-mining and rebrand to American Premium Mining Corporation.
