Southern Energy Corp Acquires Gwinville Field Assets from PetroTX Energy

Southern Energy Corp. entered into a definitive purchase and sale agreement to acquire the remaining producing acreage in the Gwinville Field (Jefferson Davis County, Mississippi) from PetroTX Energy, LLC for $3.2 million. The acquired assets produce roughly 400 boe/d (predominantly natural gas), add inventory and reserves, and are expected to generate immediate operating synergies and >30% operating cost savings when integrated with Southern's existing Gwinville operations.

Energy Transfer LP agreed to acquire WTG Midstream Holdings LLC in a transaction valued at approximately $3.25 billion, comprising $2.45 billion in cash and ~50.8 million newly issued Energy Transfer common units. The deal, from affiliates of Stonepeak, the Davis Estate and Diamondback Energy, adds WTG's Permian-focused midstream assets — including a 6,000-mile pipeline network, eight processing plants (≈1.3 Bcf/d) and a 20% interest in the BANGL NGL pipeline — to Energy Transfer's footprint to enhance its gas/NGL supply, processing and downstream capabilities.

The deal included $543 million in cash consideration (less $50 million previously escrowed), approximately 4 million shares of PDC common stock, and PDC paid off Great Western’s secured credit facility and senior secured notes; PDC said the acquisition is accretive to its operating, ESG and financial metrics.
