Liberty Media Completes Split-Off and Merger to Create Independent Sirius XM Holdings Inc.

Liberty Media completed the split-off of Liberty Sirius XM Holdings Inc. (New Sirius) and effected a merger in which a wholly owned subsidiary of New Sirius merged with and into Sirius XM Inc., leaving Old Sirius as a wholly owned subsidiary of New Sirius. The reorganization results in New Sirius (renamed Sirius XM Holdings Inc.) becoming an independent, publicly traded company listed on Nasdaq under the symbol SIRI.
