SeaFort Capital Acquires Majority Stake in GHY International

SeaFort Capital has made a majority investment in GHY International, a Winnipeg-headquartered customs brokerage and trade compliance services provider, with Winnipeg-based Jessiman Family Investments joining as a co-investor. GHY's Co-CEO Richard Riess will retain significant equity, the existing senior executive team will remain in place, and the company plans to pursue organic growth and acquisitions supported by SeaFort and new financing from Bank of Montreal.

Fortress Acquires Gyptech

Funds managed by affiliates of Fortress Investment Group have acquired a majority stake in Gyptech, the Burlington, Ontario–headquartered designer and fabricator of gypsum wallboard and asphalt-shingle manufacturing equipment. The transaction (in which Gyptech management retains a minority stake) was announced as providing strategic support for global growth, scaling innovative technologies, and expanding aftermarket and energy‑reduction offerings; Wynnchurch Capital is the selling private equity sponsor. Moelis acted as Fortress's financial advisor and Evercore as placement agent on the financing.

Bison Capital Partners VI and an affiliate of Angeles Equity Partners, together with Brian Nelson, have acquired Lapmaster Parent, LLC (Precision Surfacing Solutions), a global manufacturer of precision lapping, grinding, polishing and surface finishing machinery. The investors — supported by an institutional investor group including Churchill Asset Management, General Electric Pension Trust, AIG, SSM Health, and Franklin Park — plan to operate PSS as two autonomous business units and pursue growth across semiconductor, aerospace, and industrial end markets.
