Claranova Completes Buyout of Avanquest Minority Interests

Claranova S.E. completed the buyout of all minority interests in its Avanquest software division on October 29, 2021, paying a total consideration of €99.9 million (valuation of Avanquest shares €155.9 million). The deal was financed with cash, new Claranova shares and promissory notes, giving Claranova 100% ownership of Avanquest Software and enabling full consolidation of the division's recurring SaaS revenues.

The transaction paid Optiva shareholders C$0.25 per common share, cancelled Optiva's US$108.6 million PIK notes with consideration to noteholders (including purchaser shares, purchaser-issued senior secured notes and warrants), and will result in Optiva being dissolved and delisted from the Toronto Stock Exchange. The combined company expands Qvantel's telecom monetization and digital operations portfolio and supports more than 70 operators with a global workforce exceeding 1,000 professionals.
