Automotive Keys Group Acquires Midwest Keyless

Automotive Keys Group (AKG), a portfolio company of Kinderhook Industries, acquired Midwest Keyless, a Spring Grove, Illinois-based remanufacturer and distributor of replacement OEM and aftermarket keyless entry remotes, keys and locksmith equipment. The add-on acquisition expands AKG's presence in the wholesale and locksmith sales channels and brings Midwest Keyless's procurement capabilities, technical support and training resources into the AKG platform. Financial terms were not disclosed.

Keyloop has entered into a definitive agreement to acquire Automotive Transformation Group (ATG), an omnichannel automotive retailing software provider headquartered in Kent, United Kingdom. The acquisition (an add-on to Keyloop's PE-backed platform) will combine ATG's Fusion omnichannel platform and data capabilities with Keyloop's global automotive technology portfolio to accelerate integrated omnichannel retailing for dealers, OEMs, financiers and fleet suppliers.

American Industrial Acquisition Corporation Acquires KI USA Corporation

An affiliate of American Industrial Acquisition Corporation (AIAC) has acquired KI USA Corporation from Keiaisha Co., Ltd. The deal includes KI USA’s Berea, Kentucky manufacturing facility and its subsidiary in Irapuato, Guanajuato, Mexico; AIAC intends to maintain technical support from Keiaisha during transition and pursue additional long‑term automotive contracts.

Autokiniton Global Group (KPS) Acquires Tower International for $31/Share

Autokiniton Global Group (AGG), a KPS Capital Partners portfolio company, agreed to acquire Tower International for $31 per share in cash, representing an approximate $900 million enterprise value including debt and pension liabilities. The all-cash tender offer (70% premium to the prior close) was set to commence between August 14-19, 2019, with the transaction expected to close in September or October 2019.

KPS Capital Partners Acquires IKG from Harsco Corporation

KPS Capital Partners, through its KPS Special Situations Mid‑Cap Fund, has signed a definitive agreement to acquire the IKG bar grating business from Harsco Corporation for $85 million, subject to customary adjustments. IKG, a Houston‑headquartered manufacturer of steel and aluminum bar grating with ~350 employees and six U.S./Mexico facilities, will become an independent portfolio company under KPS to pursue organic growth and strategic acquisitions.
