CMA CGM Group Acquires Ingram Micro's Commerce & Lifecycle Services (CLS)

CMA CGM Group has signed an agreement to acquire most of Ingram Micro's Commerce & Lifecycle Services (CLS) business, including the Shipwire order-fulfillment platform, for an enterprise value of USD 3.0 billion. The transaction will be integrated with CMA CGM's subsidiary CEVA Logistics to bolster the group's contract-logistics and eCommerce capabilities, particularly across the U.S. and Europe; the CLS business reported approximately $1.7 billion revenue and ~11,500 employees in 2021.

SAS will file a tender offer with the AMF for the remaining shares at the same price and may pursue a squeeze-out; the transaction is supported by Clasquin's CEO and other key management who committed c.8.5% of the share capital to tender into the offer.

CMA CGM Acquires Majority Stake in Santos Brasil

CMA CGM Group closed the acquisition of approximately 47.9% of Santos Brasil Participações S/A from funds managed by Opportunity, bringing its total ownership in Santos Brasil to 51% (including a prior 3.1% stake). CMA CGM, via affiliate CMA Terminals Atlantic SA, will launch a mandatory tender offer for remaining shares and intends to consolidate control and pursue changes to Santos Brasil’s market listing and governance.
