Race Rock Infrastructure Acquires Highway Safety LLC and Ohio Galvanizing LLC

Houston-based Race Rock Infrastructure acquired Highway Safety LLC (HSC) and Ohio Galvanizing LLC (OGC), adding the guardrail, bridge rail, solar-support and galvanizing capabilities to its infrastructure portfolio. HSC and OGC will join Race Rock’s existing portfolio company Structural and Steel Products (SSP); founder W. Patric Gregory III will remain as President of HSC/OGC and join Race Rock’s board. The deal was financed with debt (led by Woodforest National Bank) and equity; Locke Lord LLP advised Race Rock and Sperry Mitchell & Company advised the sellers.

Race Rock Acquires Spitzer Industries from Stephens Group

Race Rock, a nationwide infrastructure fabricator, has acquired Spitzer Industries, a Houston-based manufacturer of engineered process systems, pressure vessels, and modular assemblies. Spitzer, a long-time portfolio company of Stephens Group, will operate as a standalone division within Race Rock to expand the combined company's engineering, fabrication, and modular construction capabilities across energy and industrial end markets.

Hanging Rock Acquires Car-O-Liner Southwest

Hanging Rock, a Dallas-based investment vehicle formed by Nick Feinman and Jim Karol, acquired Car-O-Liner Southwest from founder Tim Curran; the transaction closed on March 7, 2024. The new owners plan to invest in the company’s service division, physical infrastructure and operating systems while Nick Feinman and Jim Karol will take active operating roles to support growth across the company’s six-state southwestern territory.

Cornerstone Building Brands Acquires Union Corrugating Company

Cornerstone Building Brands, the largest North American manufacturer of exterior building products, has entered into and completed the acquisition of Union Corrugating Company Holdings, Inc., a metal roofing and components manufacturer headquartered in Fayetteville, North Carolina. The deal—funded with cash on hand—adds UCC's ~700 employees and roughly $250 million in trailing twelve-month sales to Cornerstone and expands the company's offerings into the high-growth residential metal roofing market while delivering manufacturing scale benefits.
