Ovintiv Completes Acquisition of NuVista Energy for $2.7 Billion

Ovintiv completed its acquisition of all common shares of NuVista Energy Ltd. in a cash-and-stock transaction valued at about $2.7 billion. The deal adds roughly 140,000 net acres and about 930 net 10,000-foot equivalent well locations in the oil-rich Alberta Montney, with expected 2026 production averaging about 100 MBOE/d.

Nuvve Holding Corp. (Nasdaq: NVVE) acquired substantially all of the net assets of Fermata Energy LLC through a newly formed subsidiary, Fermata Energy II LLC. The deal—approximately $659,000 in total consideration (about $340,000 cash plus assumed liabilities)—included issuance of 4,900,000 shares of convertible preferred stock to former Fermata debt holders and transfers key V2G IP, team members, and customer relationships to the combined platform. Nuvve says the acquisition will expand its V2G capabilities, broaden market reach across utilities, OEMs and fleets, and drive cost and product synergies through platform consolidation.

Vår Energi Acquires Neptune Energy Norge AS

Vår Energi ASA completed the acquisition of 100% of the shares in Neptune Energy Norge AS, strengthening its position on the Norwegian Continental Shelf and adding ~67 kboepd of production and ~265 mmboe of 2P reserves. The transaction was agreed at an enterprise value of USD 2.275 billion and closed on 31 January 2024 (effective date 1 January 2023); net cash consideration paid on completion (less cash in Neptune Norway) was approximately USD 1.2 billion. The deal increases Vår Energi's scale, operatorships and gas/LNG exposure and is inter-conditional with a separate transaction in which Eni acquires the remainder of Neptune's global assets.
