Phillips 66 entered into and later completed an all-stock transaction to acquire all publicly held common units of Phillips 66 Partners not already owned by Phillips 66 and its affiliates. The deal resulted in Phillips 66 owning Phillips 66 Partners outright and ending its publicly traded partnership status effective March 9, 2022.

The transaction (which included a roughly $400 million cash contribution from Phillips 66 and merged Gray Oak Holdings into DCP Midstream) closed on August 17, 2022 and is intended to integrate Phillips 66’s NGL value chain from wellhead to market.

Phillips 66 Acquires Pinnacle Midstream from Energy Spectrum Capital

Phillips 66 has agreed to acquire Pinnacle Midland Parent LLC (Pinnacle Midstream II) from private equity firm Energy Spectrum Capital for $550 million to expand its natural gas gathering and processing footprint in the Midland Basin. The assets include the Dos Picos 220 MMcf/d processing plant, ~80 miles of gathering pipeline and 50,000 dedicated acres; the deal is expected to close mid‑2024 subject to customary conditions, including HSR clearance.

Phillips 66 completed the acquisition of EPIC Y-Grade GP, LLC and EPIC Y-Grade, LP (collectively "EPIC NGL") for approximately $2.2 billion in cash. The deal adds an NGL pipeline (~885 miles), two fractionators near Corpus Christi and purity distribution pipelines, expanding Phillips 66's Permian-to-Gulf Coast midstream footprint and connectivity to refiners, petrochemical customers and export markets.

HF Sinclair Corporation completed the merger to acquire all outstanding common units of Holly Energy Partners, L.P., paying 0.3150 shares of HF Sinclair common stock and $4.00 in cash per HEP common unit. The transaction removed HEP from public trading and gives HF Sinclair full ownership of HEP's midstream terminals, pipelines and storage assets to better integrate and optimize its logistics and midstream capabilities.
