Stem Holdings Acquires Driven Deliveries, Inc.

Stem Holdings, Inc. agreed to acquire all outstanding shares of Driven Deliveries, Inc. in an all-stock transaction approved by Driven shareholders and expected to close in Q4 2020. The acquisition brings Driven's cannabis e-commerce and delivery-as-a-service technology into Stem's vertically integrated cannabis and hemp business to expand Stem's logistics, distribution and omnichannel capabilities.

Driven Deliveries (DRVD) announced a letter of intent to acquire Northern California-based Humboldt Heritage Inc. and its subsidiaries Humboldt Sun Growers Guild LLC and Grateful Eight LLC, creating a vertically integrated, farm-to-consumer cannabis operator in California. The transaction is expected to add about $20M to Driven's 2020 revenue forecast, give Driven exclusive access to 18 brands and products from more than 200 Humboldt farms, and materially improve gross margins through vertical integration and scale.

MedX Holdings Inc. (OTC: MEDH) has acquired Craft Herbs LLC, a Texas limited liability company licensed to cultivate and process hemp in South Texas. Craft Herbs operates three facilities (San Antonio lab/kitchen, a 5-acre farm in New Braunfels, and an 86-acre lease near Laredo) and produces hemp products including fiber, feed, biomass and CBD; MEDH says the deal advances its vertical integration and capacity for hemp and cannabis products.

JARS Cannabis Acquires Euflora LLC

Privately held JARS Cannabis has entered into a definitive agreement to acquire Euflora LLC, adding six recreational dispensaries and a 7,200 sq. ft. cultivation center and greenhouse in Colorado. The deal expands JARS' retail footprint to 26 storefronts across three states, increases product assortment and customer reach, and is intended to drive operational and retail synergies in core recreational markets.

Canopy Growth to Acquire Jetty Extracts

Canopy Growth Corporation entered into option agreements to acquire up to 100% of Lemurian, Inc. (Jetty), a California-based cannabis extracts and vape brand, with an aggregate upfront consideration of approximately US$69 million for ~75% of Jetty and additional consideration on exercise of the remaining option. The deal gives Canopy a strategic foothold in the California THC market and access to Jetty's solventless extraction technology and premium consumer brand as part of its U.S. THC ecosystem expansion.
