Spectris plc agreed to acquire SciAps Incorporated for up to $260 million (upfront $200M plus up to $60M deferred), integrating the handheld XRF and LIBS specialist into Malvern Panalytical. SciAps, based in Boston, Massachusetts, is a high-growth provider of handheld materials-analysis instruments (expected 2024 sales ~$70M and adjusted EBITDA ~$12.1M); Rand Capital received $13.1M in proceeds from the sale of its SciAps investments.

Spectris plc Acquires MicroStrain Sensing Systems Business

Spectris plc has signed a purchase agreement to acquire MicroStrain Sensing Systems Business for $37.6 million. MicroStrain, based in Williston, Vermont, reported unaudited revenue of $15.4 million for the year ended June 2022 and will be integrated into Spectris Dynamics to strengthen Spectris' sensor offering and North American presence; the deal is expected to close in the third quarter subject to regulatory approval.

AmpliTech Group Acquires Spectrum Semiconductor Materials

(NASDAQ: AMPG) has executed a definitive agreement to acquire the assets and operations of Spectrum Semiconductor Materials, Inc., a San Jose–based authorized distributor of semiconductor components. The deal (approximately $8.0M cash plus $1.5M escrow and restricted shares) nearly triples AmpliTech's revenue base, adds a global distribution platform and a record combined order backlog of $11.4M, and is intended to accelerate commercialization of AmpliTech's MMIC chip solutions.

Thermo Fisher Scientific Acquires MarqMetrix
