Regional Health Properties, Inc. and SunLink Health Systems, Inc. entered into an amended and restated merger agreement under which SunLink will merge with and into Regional. The transaction consideration includes Regional common stock and newly authorized Series D preferred stock, and the merger requires approvals from shareholders of both companies plus regulatory approvals and other customary closing conditions.
