BlackRock TCP Capital Corp. (TCPC) has completed its merger with BlackRock Capital Investment Corporation (BCIC); the combined company will continue trading under the ticker TCPC and remain externally managed by a BlackRock subsidiary. Former BCIC shareholders will receive 0.3834 shares of TCPC per BCIC share, and the transaction results in legacy TCPC and former BCIC shareholders owning approximately 67.5% and 32.5% of the combined company, respectively; TCPC's advisor also agreed to a reduced base management fee and limited fee waivers.

FreshBrew Group Acquires Branded Coffee Division of White Coffee Corp

Houston-based FreshBrew Group has acquired the Branded Coffee licensed division of Long Island City–based White Coffee Corp. The transaction transfers the nation's largest portfolio of licensed bagged coffee and K-Cup products to FreshBrew, expanding its roasting, liquid production and branded-manufacturing capabilities; senior members of the White family will join FreshBrew's executive team to lead the transition.

Whitney, Bradley & Brown, Inc. (WBB), a portfolio company of H.I.G. Capital, has acquired BRTRC Federal Solutions, a Vienna, Virginia-based provider of support services to the U.S. Army, Department of Defense and Intelligence Community. The deal expands WBB's capabilities in systems and vehicle integration, prototyping, strategic communications and cybersecurity as an add-on to its federal government services platform.

VSS and NewSpring Invest in BRC Recovery and Form BRC Healthcare

Private equity firms Veronis Suhler Stevenson (VSS) and NewSpring Health Capital completed an investment in BRC Recovery Family of Programs and helped form a new holding company, BRC Healthcare, to serve as the platform for the BRC programs and future acquisitions. Headquartered in Austin, Texas, BRC provides residential and outpatient addiction treatment and sober living services; founder Marsha Stone remains with the company and will continue in a leadership role. Financial terms were not disclosed.

Southfield Capital Invests in Business Development Resources; BDR Acquires BxB Media
