nClouds, an AWS Premier Tier Services Partner based in Salt Lake City, has acquired Foghorn Consulting, an AWS Premier Tier Services Partner founded in San Francisco focused on cloud security, migration, and application modernization. The deal — with Foghorn being acquired from Centersquare (which purchased Foghorn in 2021) — expands nClouds' cloud engineering, DevOps, and managed-services capabilities to better serve customers across healthcare, financial services, software, energy and the public sector.

SPX Corporation Acquires Cincinnati Fan & Ventilator Co.

SPX Corporation has entered into a definitive agreement to acquire Cincinnati Fan & Ventilator Co., Inc. from Dominus Capital. Cincinnati Fan, headquartered in Mason, Ohio with approximately 215 employees across the US and UK, supplies engineered air movement solutions and will be integrated into SPX's global HVAC Cooling business to expand capabilities and distribution.

Soler & Palau Acquires United Enertech from DalFort Capital Partners

(S&P USA) has acquired certain operating companies of United Enertech (including Air Conditioning Products, Air Performance, Metal Form Manufacturing and United Enertech Corp.) from DalFort Capital Partners. The acquisition expands S&P’s ventilation and HVAC components portfolio and adds manufacturing locations in Michigan, Arizona, Alabama and Tennessee; terms were not disclosed.

Stratim Cloud Acquisition Corp. Signs LOI to Acquire Force Pressure Control, LLC

(a Nasdaq-listed SPAC) signed a binding letter of intent to acquire 100% of Force Pressure Control, LLC, a Texas-based provider of pressure-control rental tools and services for frac and flowback operations. The proposed consideration includes 12 million SCAC Class A shares, $120 million in cash or notes, and an earnout of up to 3 million additional shares contingent on 2023 EBITDA; the deal is intended to close following definitive agreement and approvals.

Madison Air Acquires AcoustiFLO

Madison Air has acquired AcoustiFLO, a Denver‑area manufacturer of high‑performance plenum fans and acoustic fan technology, to add aerodynamic efficiency and acoustic performance capabilities to its Air Handling Group (AHG). AcoustiFLO, founded in 1995 and headquartered in Aurora, Colorado, will report to Madison Air's AHG and its technology will be integrated across portfolio air‑handling platforms including FANWALL offerings.
