Fresh2 Group Ltd. (NASDAQ: FRES), through its subsidiary Fresh2 Technology Inc., agreed to acquire 100% of Youfood Group Inc. in a stock-for-stock transaction. The deal—payment in 38,333,334 newly issued Fresh2 Class A common shares—is intended to expand Fresh2's cross-border B2C food e-commerce capabilities and provide access to new North American customers sourcing food from Asia and South America.

(LSO), a PE-backed contract manufacturer headquartered in Brea, California, has acquired J-Pac Medical, a Somersworth, New Hampshire-based medical device and diagnostics contract manufacturer. The acquisition expands LSO's capabilities into biomaterials, reagent blister packaging, thermoforming and sterilization, broadening its service offering and East Coast and Costa Rica production footprint.

AgroFresh Acquires Pace International LLC

AgroFresh Solutions, Inc. has acquired Pace International LLC from Valent BioSciences LLC, expanding AgroFresh’s post‑harvest solutions portfolio and strengthening its presence in key fruit‑growing regions in North and South America. The deal pairs Pace’s edible coatings, fungicides, storage treatments and application equipment with AgroFresh’s global scale and will be complemented by a strategic collaboration between AgroFresh and Valent BioSciences to accelerate innovation.

GrubMarket Acquires FreshGoGo

Bio-Techne Acquires Namocell

Bio-Techne Corporation has agreed to acquire Namocell, Inc., a Mountain View–based provider of single-cell sorting and dispensing platforms, with the deal expected to close in Bio-Techne's fiscal 2023 Q1. Namocell's Pala and Hana systems (installed base approaching 200 placements, ~60 sold in 2021) will complement Bio-Techne's Cell and Gene Therapy franchise and create commercial synergies across its analytical instruments sales force.

H.I.G. Capital Acquires Health-E Commerce from BPOC

An affiliate of H.I.G. Capital has completed the acquisition of Health-E Commerce, the Dallas-based e-commerce retailer operating FSAstore.com, HSAstore.com and the Caring Mill private label. The majority stake in Health-E Commerce was previously held by BPOC (since 2019); H.I.G. will partner with management to expand product selection, telehealth services and technology integrations with third-party administrators to drive growth.
