Zellis Group Acquires Benify from Vitruvian Partners

Zellis Group, a portfolio company of funds advised by Apax Partners, has agreed to acquire Benify from Vitruvian Partners and will combine Benify with its Benefex benefits administration and employee engagement business. Vitruvian will take a minority stake in Zellis alongside the Apax Funds; the deal creates a larger global benefits, rewards and employee engagement SaaS provider serving thousands of employers and millions of employees. Financial terms were not disclosed and the transaction is subject to customary closing conditions.

Alera Group Acquires Brio Benefits

Alera Group, a national insurance and financial services firm based in Deerfield, Illinois, has acquired Brio Benefits, an employee benefits and retirement plan consulting firm headquartered in New York. The Brio team will remain in their existing roles and the acquisition is intended to strengthen Alera Group's employee benefits capabilities and deliver expanded resources to clients; terms were not disclosed.

Co-operators Acquires Smart Employee Benefits Inc.

Co-operators Financial Services Limited, a wholly owned subsidiary of The Co-operators Group Limited, agreed to acquire all issued and outstanding common shares of Smart Employee Benefits Inc. (SEB) for C$0.30 per share in a statutory plan of arrangement, implying an equity value of approximately C$89.1 million. The acquisition is intended to bolster Co-operators' Group Benefits capabilities by integrating SEB's benefits administration technology, SaaS products and managed services; closing is subject to shareholder, court and regulatory approvals.
