A Place for Rover, Inc. (Rover) entered into a business combination with Nebula Caravel Acquisition Corp., a SPAC sponsored by True Wind Capital, creating the publicly listed Rover Group, Inc. The transaction values the combined company at an enterprise value of approximately $1.35 billion and provides roughly $325 million in gross cash proceeds (including a $50 million private placement) to fund growth, market expansion, and product development.

SpotHero Acquires Rover Parking

SpotHero has signed an agreement to acquire Rover Parking, a Toronto-based consumer parking app, accelerating SpotHero’s expansion into Canada and adding thousands of parking locations and Rover’s team to its commercial supply business. The deal is expected to close in Q4 2020 and will see Rover CEO Tim Wootton become SpotHero’s Head of Canada.

Emergency Reporting Acquires Spotted Dog Technologies

Emergency Reporting, a Bellingham, Washington-based provider of cloud records management and reporting software for fire and EMS agencies, has acquired Spotted Dog Technologies, maker of the Rover two-way notification and response platform. The deal will integrate Rover’s responder notification and situational-awareness capabilities into Emergency Reporting’s RMS to improve response times and provide expanded features for first responders; Spotted Dog’s founder Geoffrey Giordano will remain with the combined business.

Guardian Capital Partners Invests in Western Shelter (WS Acquisition, LLC)

Guardian Capital Partners invested in WS Acquisition, LLC, the parent of Western Shelter Systems and CrewBoss, partnering with the company’s executive management (CEO Michael Scala and CFO Greg Lyons) to support growth. Centerfield Capital Partners provided financing and minority equity; Guardian plans to expand the business through infrastructure and product investment and add-on acquisitions.
