Wolters Kluwer's Governance, Risk & Compliance (GRC) unit has agreed to acquire eOriginal, a Baltimore-based provider of cloud-based digital lending software, for approximately €231 million in cash. The deal expands Wolters Kluwer's digital lending and loan-closing capabilities by integrating eOriginal's electronic vaulting and closing solutions with GRC's compliance offerings.

International Decision Systems Combines with White Clarke Group

International Decision Systems (IDS), a Thoma Bravo portfolio company, has agreed to combine with White Clarke Group, a portfolio company of Five Arrows Principal Investments. FAPI will remain a shareholder in the combined company; the deal is expected to close by end of Q2 2021 subject to regulatory approvals and customary conditions.

Wolters Kluwer Governance, Risk & Compliance (GRC) has acquired LicenseLogix LLC, a White Plains, New York-based provider of U.S. business licensing research, filing and ongoing compliance management. LicenseLogix will be integrated with Wolters Kluwer's CT Corporation to expand CT's end-to-end legal entity compliance and managed services offerings; the deal is expected to deliver ROIC above Wolters Kluwer's after-tax WACC within three to five years and have an immaterial impact on adjusted earnings in the first full year.

Arlington Capital Partners Acquires Integrated Data Services

Arlington Capital Partners, a Washington, DC-based private equity firm, has acquired Integrated Data Services (IDS), a federal software provider headquartered in El Segundo, California. IDS co-founders Jerome Murray and James Truhe retained a minority stake; IDS employs over 275 people and provides the CCaR program portfolio management software to Department of Defense and civilian federal customers.

Volaris Group Acquires IDS, Brazilian Public Management Software Provider

Descartes Systems Group has acquired Rockville, Maryland–based OCR Services, a provider of global trade compliance solutions and content, for approximately $90 million in cash. The acquisition adds OCR’s GlobalEASE platform and controlled export data to Descartes’ Global Trade Intelligence offerings, expanding content and capability to better serve multinational customers and partners.
