Vectrus and The Vertex Company to Combine in All-Stock Merger

Vectrus, Inc. and The Vertex Company announced an all-stock merger to create a leading global provider of mission-essential government services. The combined company will have pro forma 2021 revenue of approximately $3.4 billion, pro forma backlog of about $11.3 billion, and is expected to deliver cost synergies and enhanced capabilities while maintaining Vectrus’s NYSE listing and a Northern Virginia headquarters post-close.

Zuken Acquires Vitech Corporation

Zuken Inc. completed the acquisition of Vitech Corporation, a Blacksburg, Virginia-based provider of Model-Based Systems Engineering (MBSE) software and services. The deal — which received approval from the U.S. Department of Defense and CFIUS — expands Zuken's portfolio into systems engineering and MBSE capabilities to support customers in aerospace, transportation and defense markets.

VIRTEX Enterprises (Insight Equity) Acquires Precision Technology, Inc.

VIRTEX Enterprises, an electronic manufacturing services (EMS) company backed by Insight Equity, acquired a majority of the assets of Precision Technology, Inc. (PTI), a single-facility EMS provider in Plano, Texas. The add-on expands VIRTEX's NPI, ultra-low-volume and flex/rigid-flex assembly capabilities and strengthens its presence in the Texas aerospace and defense corridor.

Vertex Aerospace Acquires Raytheon Technologies' Defense Training and Mission Critical Solutions Business Lines

Vertex Aerospace, owned by private equity firm American Industrial Partners, agreed to acquire Raytheon Technologies' Defense Training and Mission Critical Solutions business lines, a group of businesses that generated approximately $1.0 billion in sales in 2020. The transaction (a divestiture by Raytheon Technologies) adds roughly 2,000 employees to Vertex, expands its training, mission-critical support and modernization capabilities, and broadens its government and commercial aerospace contract portfolio.

V2X Acquires QinetiQ U.S. Intelligence Business

V2X, Inc. (NYSE: VVX) completed the acquisition of QinetiQ’s U.S. Intelligence business for approximately $24 million (net of estimated tax benefits). The deal brings roughly 70 intelligence, data engineering, and cyber professionals into V2X and expands the company's capabilities and access to critical national security programs.

VIRTEX Enterprises (Insight Equity Affiliate) Acquires Altron, Inc.

VIRTEX Enterprises, a portfolio company of private equity firm Insight Equity, has acquired Altron, Inc., an Anoka, Minnesota–based electronics manufacturing services (EMS) provider. The add-on expands VIRTEX's Midwest footprint and capabilities—notably medical device and aerospace/defense electronics manufacturing and related certifications—providing additional scale and disaster-recovery capacity for customers.
