Swanson Industries Acquires TransAxle's Off-Highway Business

Swanson Industries, a portfolio company of Turnspire Capital Partners, has acquired the Off-Highway Business of TransAxle Holdings, LLC. The acquired business — a U.S.-based remanufacturer of transmissions, differentials, hydraulics, axles and brake systems with locations in Pennsauken, New Jersey and Garner, North Carolina — will be rebranded as the Swanson Off-Highway division to expand Swanson's capabilities and service capacity in core end markets such as mining, construction and aerospace.

Ren, an Indianapolis-based provider of donor-advised fund enablement software and services, received a strategic growth investment led by Bain Capital Tech Opportunities and Valeas Capital Partners. The capital — Ren's first institutional funding — will be used to build new product features, rapidly scale the team, increase advisor and client awareness of donor-advised funds, and expand Ren's charity network; financial terms were not disclosed. Raymond James acted as exclusive financial advisor.

Bain Capital Acquires Controlling Stake in Engineering Group

Bain Capital Private Equity signed a definitive agreement to acquire a controlling stake in the Engineering Group, the leading Italian IT services and digital transformation business, from funds advised by Apax Partners and Neuberger Berman. Neuberger Berman will reinvest alongside Bain Capital; the transaction remains subject to regulatory approvals. Engineering is headquartered in Rome and employs more than 11,000 professionals across multiple countries.

Bain Capital-Led Consortium Acquires Hitachi Metals

A consortium led by Bain Capital Private Equity, together with Japan Industrial Partners (JIP) and Japan Industrial Solutions (JIS), closed a tender offer to acquire Hitachi Metals, Ltd. The investors said they will provide capital and management support to accelerate growth and pursue opportunities in areas such as electric vehicles; Hitachi Metals reported ¥942.7 billion in revenue and about 27,700 employees as of March 2022.
