HBM Holdings Acquires Control Devices

HBM Holdings has acquired Control Devices, LLC, a Fenton, Missouri-based designer and manufacturer of engineered flow-control products. Control Devices was previously a portfolio company of Goldner Hawn; terms were not disclosed and Control Devices' existing management will remain in place as HBM pursues a buy-and-build growth strategy in industrial components.

The acquisition expands Control Devices' flow control product offering and strengthens HBM's capabilities and presence in the oil & gas energy market; approximately 100 employees will join HBM/Control Devices as part of the deal.

Control Devices Acquires Sherwood Valve

Control Devices, a portfolio company of HBM Holdings, has acquired Sherwood Valve to expand its compressed gas flow control portfolio and enhance engineering and manufacturing capabilities. The deal adds Sherwood's product lineup and brand (operations in Cleveland, Ohio and the Pittsburgh area) and brings about 75 employees to Control Devices; financial terms were not disclosed.

ESAB Corporation Acquires Ohio Medical

ESAB Corporation (NYSE: ESAB) acquired Ohio Medical, LLC, a manufacturer of oxygen regulators and central gas systems, for $127 million in cash. The acquisition, purchased from a private investor group led by Tenex Capital Management, expands ESAB's medical gas control portfolio and is expected to be EPS accretive in the first year while providing cross-selling and global expansion opportunities.

IDEX Corporation Acquires Flow Management Devices, LLC

IDEX Corporation has entered into a definitive agreement to acquire Flow Management Devices, LLC (Flow MD) for $125 million in cash, before closing adjustments. Flow MD, a Phoenix-based maker of small-volume provers used for custody transfer accuracy in the oil and gas industry, has approximately $60 million in annual sales and will join IDEX's energy group.

Control Devices, LLC Acquires Advanced Fuel Components, Inc.

Control Devices, LLC (Fenton, Missouri) acquired the assets of Advanced Fuel Components, Inc. (Marshall, Michigan) in an add-on transaction — Control Devices' ninth add-on. The acquisition adds AFC's engineered solenoid valves and filters to Control Devices' product portfolio to expand capabilities and accelerate product introductions to existing customers.
