Vienna Parent Corporation (an SPV formed by Justin Christian) and its purchaser Vienna Acquisition Corporation completed a cash tender offer to acquire all outstanding shares of TSR, Inc. (NASDAQ:TSRI), taking the IT staffing firm private for $13.40 per share. The acquisition, by an affiliate of BCforward, expands BCforward’s workforce management and IT staffing capabilities and will result in TSR ceasing trading on the Nasdaq.

NextGen Healthcare Acquires TSI Healthcare

NextGen Healthcare, Inc. agreed to acquire TSI Healthcare, a Chapel Hill, North Carolina-based value-added reseller of NextGen practice management and EHR solutions. The deal includes $68 million in cash upfront plus up to $22 million in earnout, is effective November 30, 2022, and is expected to add approximately $10–12 million of revenue in the remaining four months of fiscal 2023 while expanding NextGen’s presence in specialty physician markets.

Irys Acquires Diversified Technical Services Inc. (DTSI)

San Antonio-based tech startup Irys has acquired Diversified Technical Services Inc. (DTSI), a longtime defense contractor now operating as a DTSI business unit of Irys. The all-cash deal preserves DTSI's name, its existing defense-sector contracts and roughly 60 employees, and gives Irys immediate past performance and capabilities to expand into government and DoD contracting.

GSI, Inc. Acquires IT Prophets' Consulting Practice

GSI, Inc. acquired the consulting practice of IT Prophets LLC to expand its IT Service Management (ITSM) capabilities across platforms including ServiceNow, BMC, Salesforce and Cherwell. As part of the transaction, IT Prophets' president Jean Landmesser will join GSI as Director of the ITSM practice to help integrate and grow the combined offering.

CPSI Acquires Healthcare Resource Group (HRG)

CPSI (NASDAQ: CPSI) has acquired Healthcare Resource Group, Inc. (HRG), a Spokane-based provider of revenue cycle management (RCM) solutions and consulting services. The deal expands CPSI/TruBridge's RCM capabilities, adds approximately 400 employees and 77 customers (primarily mid-to-large hospitals), and is expected to drive recurring revenue and margin synergies.
