San Francisco Equity Partners Acquires Majority Stake in DGS Retail

San Francisco Equity Partners (SFEP) has acquired a majority stake in DGS Retail, a provider of décor, signage, fixtures, displays and related design, manufacturing and installation services for grocery, retail and foodservice customers. SFEP said the investment will provide DGS with additional operational resources and capital to drive growth across its multi-facility operations in the United States; terms were not disclosed.

Agility Retail Group Acquires Infinity Retail Services

Agility Retail Group, a partner company of San Francisco Equity Partners (SFEP), has acquired Infinity Retail Services, a Turtle Lake, Wisconsin–based designer and manufacturer of retail fixtures and displays that serves the telecom channel. Infinity's founders Kevin and Wendy Jansen retain significant equity and the existing management team will continue to run the business; terms were not disclosed.

San Francisco Equity Partners (SFEP) portfolio company DGS Retail has acquired RICH LTD., a designer and manufacturer of customizable point-of-purchase displays, retail fixtures and full-store buildout solutions. The acquisition—terms undisclosed—positions DGS to expand its design, manufacturing and procurement capabilities and diversify geographically while Rich’s leadership, led by President Jim Hollen, will continue to operate the business in partnership with DGS.

Lawson Products Acquires S&S Automotive

Lawson Products, the operating company of Distribution Solutions Group (DSG), has completed the acquisition of S&S Automotive, a Midwest-based automotive and industrial parts distributor headquartered in Woodridge, Illinois. The transaction — funded with DSG cash and its credit facility — will combine S&S with Lawson's Kent Automotive division to expand product offering, vendor-managed inventory (VMI) capabilities and geographic reach; S&S reported approximately $40 million in annual revenue and the deal is expected to be accretive to DSG's adjusted EPS and EBITDA margins.

ICG and DGS Management Acquire DGS S.p.A. from H.I.G. Capital

H.I.G. Capital has agreed to sell its portfolio company DGS S.p.A. to the company's co-founders and management team in partnership with ICG. The transaction transfers ownership from H.I.G. to a management-led group alongside ICG, positioning DGS for continued growth in cybersecurity and digital transformation services in Italy.
