Modine Acquires Scott Springfield Manufacturing

Modine (NYSE: MOD) has entered into a definitive agreement to acquire Scott Springfield Manufacturing, a Calgary-based manufacturer of air handling units, for an enterprise value of approximately $190 million CAD (consideration paid in Canadian dollars). The acquisition — expected to close in Q1 2024 and financed with cash and debt — adds AHU manufacturing capabilities and a blue-chip customer base serving hyperscale and colocation data centers, healthcare, telecommunications and aerospace to Modine's HVAC and indoor air quality portfolio.

Modineer Acquires P-K Tool & Manufacturing

Modineer Co., Inc., a Modineer Group company owned by Hall Capital and Westbourne Capital Partners, acquired P-K Tool & Manufacturing, a 75-year-old, family-owned precision metal components manufacturer based in Chicago, effective January 31, 2020. Terms were not disclosed; the deal is an add-on to Modineer intended to expand manufacturing capabilities and enter new end markets including power sports and additional automotive segments.

Modineer Acquires Pulverman

Modineer Co., Inc., a Modineer Group company owned by Hall Capital and Westbourne Capital Partners, has acquired Pulverman (a Pennmark Technologies company), a Dallas, Pennsylvania-based ISO/IATF-certified metal fabricator serving heavy/medium truck, commercial vehicle and off-highway markets. The acquisition is an add-on to Modineer's platform to expand metal fabrication and high-compliance finishing capabilities; Angle Advisors served as Pulverman's financial advisor.

Regent Acquires Thermal Acoustical Solutions (TAS) Business Unit from Alkegen

The sale — a divestiture of Alkegen's TAS operations spanning facilities in the United States, Europe and China — allows Alkegen to concentrate on its core specialty materials platform while Regent positions TAS for independent growth in automotive thermal and acoustical components.

Worthington Enterprises Acquires Elgen Manufacturing from MFG Partners

Worthington Enterprises (NYSE: WOR) has acquired Elgen Manufacturing Company, a Closter, New Jersey-based maker of HVAC ductwork components, from private equity owner MFG Partners. The acquisition expands Worthington Enterprises’ building systems and components portfolio and is intended to accelerate Elgen’s ability to serve customers and support growth initiatives launched under MFG’s ownership.

Dover Corporation Acquires Engineered Controls International (RegO) and Acme Cryogenics

Dover Corporation has agreed to acquire Engineered Controls International, LLC (RegO) from Windjammer Capital for $631 million in cash and has completed the acquisition of Acme Cryogenics, Inc. for $295 million in cash. Both businesses will join Dover's OPW Global operating unit within its Fueling Solutions segment to expand Dover's capabilities in cryogenic, LNG, LPG and other clean-fuel applications.
