Fuller Company signed agreements to acquire Italian medical adhesive manufacturer GEM S.r.l. and Irish tissue-adhesive producer Medifill Ltd., expanding its Medical Adhesive Technologies (MAT) business and establishing a European hub for the platform. The combined purchase price is €180 million (pre-synergy 15.5x EBITDA) with expected 2024 combined net revenue of €23 million and adjusted EBITDA of €11.5 million; the GEM transaction is expected to close in February 2025, subject to customary conditions.
