Ducommun Incorporated Acquires Magnetic Seal Corporation

Ducommun Incorporated (NYSE: DCO) completed the acquisition of Magnetic Seal Corporation (MagSeal), a Warren, Rhode Island–based maker of proprietary magnetic seals for aerospace and defense applications. The purchase expands Ducommun's engineered products portfolio and recurring aftermarket offerings for critical A&D systems; the deal was financed with cash on hand and a portion of Ducommun's revolving credit facility.

Levine Leichtman Capital Partners sold Nobles Worldwide, a St. Croix Falls, Wisconsin-based designer and manufacturer of ammunition handling systems, to an affiliate of Ducommun Incorporated. The acquisition expands Ducommun's aerospace and defense manufacturing capabilities and integrates Nobles' ammunition feed and handling products into Ducommun's Electronic and Structural Systems offerings.

Albion River Affiliate Ignium LP Accumulates 9.2% Stake in Ducommun Incorporated

Albion River LLC, through its affiliate Ignium LP, disclosed it has increased its ownership in Ducommun Incorporated (NYSE: DCO) to over 9.2% and says it has made a bid valuing the company at $60 per share. Albion criticized Ducommun's board for declaring the company "not for sale," said it plans to engage directly with shareholders, and urged board-level actions to align management incentives with a $60 strike price.

Latécoère Acquires Avcorp Industries Inc.

Latécoère has agreed to acquire all outstanding common shares of Avcorp Industries Inc. for approximately CAD$41 million, strengthening its Aerostructures business by adding wing sub-assemblies, large-scale composite capabilities and North American manufacturing footprint. The acquisition increases Latécoère's exposure to North American defence and commercial aircraft platforms (including the B737 Max and F-35) and is expected to close in 2022 subject to customary approvals.

Arcline Investment Management Acquires Controlling Stake in Air Comm Corporation

Arcline Investment Management acquired a controlling stake in Air Comm Corporation in a transaction valuing the company at $250 million; Dave Harrison remains a significant minority shareholder and will serve as Chairman. Air Comm, based in Westminster, Colorado, designs, manufactures, and services environmental control and thermal management systems for aerospace OEMs, fleets and aftermarket service providers; Arcline plans to partner with management to expand MRO capabilities and pursue organic and inorganic growth.

Bernhard Capital Partners Acquires Duotech Services

Bernhard Capital Partners has agreed to acquire Duotech Services, a Franklin, North Carolina-based provider of repair, remanufacturing, and engineering solutions for radar and related systems, to expand its newly launched government services platform. Terms were not disclosed; Duotech will retain its headquarters and management team and will join Bernhard Capital's government services platform alongside the Federal & Defense business of VSE Corporation.
