Toromont Industries Acquires 60% Stake in AVL Manufacturing Inc.

Toromont Industries Ltd. has acquired a 60% ownership stake in AVL Manufacturing Inc., a Hamilton, Ontario-based designer and fabricator of power generation and energy storage enclosures that serves the data centre market across eastern North America. The purchase was paid in cash and Toromont shares, and Toromont has committed to buying the remaining 40% by agreed dates through 2031 based on performance; the acquisition secures supply for Toromont Power Systems and is not expected to have a material near-term impact on combined results.

AVS Verkehrssicherung Acquires Majority Stake in Fero Group

AVS Verkehrssicherung, a Triton Fund IV company, has agreed to acquire a majority share in Belgium-based Fero Group from the founding Haerens family. Fero is a leading provider of temporary traffic management, road marking and traffic signage with more than 300 employees across multiple locations in Flanders and Wallonia; the transaction strengthens AVS's European footprint in work-zone safety and is subject to regulatory approval.

MC Machinery Systems Acquires Ferro Technique from Argyle Capital and Sharno Group

MC Machinery Systems Inc. has acquired Ferro Technique Ltd., a Mississauga-based multi-line distributor of machine tools, from Argyle Capital Partners and investment partner Sharno Group. The transaction gives MC Machinery expanded distribution and service capabilities in eastern Canada (Ontario, Quebec and the Maritimes) and represents a strategic geographic and service-network expansion for the buyer.

Avnan Capital Ltd. Acquires Falcon Electric, Inc.

Avnan Capital Ltd., a Mississauga-based investment firm focused on electronics design and manufacturing, has acquired Falcon Electric, Inc., a California manufacturer of industrial- and military-grade UPS systems and frequency converters. BMI Mergers & Acquisitions advised Falcon Electric on the sale; Avnan said the acquisition will support Falcon Electric's continued growth and align with its strategy to invest in technology-driven electronics companies.

Avem Partners Acquires FMI Aerostructures

Avem Partners, with capital support from True West Capital Partners, a prominent family office and other investors, closed the acquisition of substantially all assets of Dynamic Aerostructures, Inc. (doing business as FMI Aerostructures) via a court-supervised Section 363 sale following the company's Chapter 11 filing. Avem intends to stabilize operations at FMI's 226,000-square-foot Valencia, California manufacturing facility, leverage customer relationships with major aerospace OEMs, and expand its aerospace and defense manufacturing footprint.
