Compass Diversified (CODI) completed the acquisition of PrimaLoft Technologies Holdings, Inc., the Latham, New York–based synthetic insulation and advanced materials company, for an enterprise value of $530 million. CODI funded the purchase with a new $400 million term loan and extended its revolver; PrimaLoft management and existing shareholders retained a minority stake (~9%) while CODI holds approximately 91%.

Lugano's existing management will continue to lead the business and retain a significant minority stake while CODI plans to support geographic expansion and expanded event-driven marketing to drive growth.

Highlander Partners Acquires Ergobaby from Compass Diversified

Highlander Partners, a Dallas-based private investment firm, has acquired The Ergo Baby Carrier, Inc. (Ergobaby) from Compass Diversified (NYSE: CODI). Ergobaby, a Los Angeles–based global leader in premium baby carriers with roughly 170 employees and distribution in over 75 countries, will be positioned for growth under Highlander's buy-and-build strategy; terms were not disclosed.

Daisy Manufacturing Acquires Crosman from Compass Diversified

Daisy Manufacturing Company, a portfolio company of private equity firm BRS & Co., has acquired Crosman Corporation, the air gun division of Velocity Outdoor (owned by Compass Diversified). The deal is an add-on acquisition for Daisy; terms were not disclosed and proceeds to the seller will be used for debt repayment and general corporate purposes.

Compass Group Acquires CH&CO from Equistone

Compass Group PLC has agreed to acquire CH&CO, a UK & Ireland premium contract catering and hospitality services provider, for an initial enterprise value of £475 million plus an earn-out. The transaction, subject to regulatory approval, buys CH&CO from private equity owner Equistone and expands Compass's capabilities and footprint in the UK and Ireland; CH&CO generates c. £450m revenue and employs over 10,000 people.

CECO Environmental Acquires Compass Water Solutions

CECO Environmental Corp. acquired Compass Water Solutions, a supplier of membrane-based industrial water and wastewater treatment systems, for a total purchase price of $12.5 million. The acquisition (completed May 2022) expands CECO's industrial water capabilities, adds a short-cycle revenue mix, and is expected to be accretive to EBITDA, EPS, and free cash flow in 2022.
