Bain Capital Private Equity has signed definitive documents with BC Partners to establish joint ownership of Fedrigoni, the global producer of self-adhesive labels and fibre-based packaging products. The transaction combines a reinvestment by Bain with new investment from BC Partners to support Fedrigoni's M&A-led growth and sustainability agenda; the Fedrigoni family and management will remain invested and the deal is expected to close by the end of 2022 subject to regulatory approvals.

Bain Capital Acquires Controlling Stake in Engineering Group

Bain Capital Private Equity signed a definitive agreement to acquire a controlling stake in the Engineering Group, the leading Italian IT services and digital transformation business, from funds advised by Apax Partners and Neuberger Berman. Neuberger Berman will reinvest alongside Bain Capital; the transaction remains subject to regulatory approvals. Engineering is headquartered in Rome and employs more than 11,000 professionals across multiple countries.

Bain Capital to Acquire Mitsubishi Tanabe Pharma Corporation

Bain Capital has signed a definitive agreement to acquire Mitsubishi Tanabe Pharma Corporation (MTPC) in a carve-out from Mitsubishi Chemical Group Corporation for approximately 510 billion JPY (about $3.3 billion). The deal, led by Bain’s Private Equity teams in Asia and North America together with its Life Sciences group, will create an independent, standalone Japanese pharma platform focused on drug discovery and development across immunology, CNS, vaccines, diabetes and other priority areas; the transaction is expected to close in Q3 2025.

Bain Capital Special Situations Takes ~20% Stake in IMS Nanofabrication from Intel

Bain Capital Special Situations agreed to acquire an approximately 20% minority stake in IMS Nanofabrication GmbH from Intel in a deal that values IMS at about $4.3 billion. The investment (expected to close in Q3 2023) will leave IMS operating as a standalone subsidiary led by CEO Dr. Elmar Platzgummer and is intended to accelerate the company's technology innovation and market expansion in multi-beam mask writing for advanced semiconductor nodes.

Bain Capital Private Equity agreed to acquire a majority stake in Tokyo-based Mash Holdings, the operator of fashion and lifestyle brands including gelato pique, SNIDEL and FRAY I.D. The firm said it will partner with Mash's management to strengthen the company's business foundation and accelerate medium- to long-term growth across its fashion, beauty and food brands.
